Terms of service

1. Who we are

2. Businesses only

Encircle sells to businesses and organizations only (B2B). You order as a business, not as a consumer. Consumer rights, such as a right of withdrawal, therefore do not apply.

3. What we deliver

A short video (MP4, Full HD) in 16:9 and/or 9:16, made from public information about your business (see section 9). If you order within 14 days of our first email you get both formats; after that one format of your choice, and the other for 25 (in the currency of your page) extra. Optionally with voice-over; that voice is made with AI. You see the whole video on your preview page before you buy, and you get exactly that video, without watermark. Changes are possible after delivery through the feedback form (section 7).

4. Previews

  • A preview is a sample Encircle makes on its own initiative or at your request. It carries a watermark and is not meant for use.
  • The preview page is available for 28 days. After that it goes offline; it can’t be extended.
  • Without a purchase we delete the page, the video and the business details 30 days after publication. What we keep after that, such as the suppression list, is in the privacy policy.
  • You can unsubscribe at any time with the ‘Stop emails’ button on the preview page. We then won’t contact you again; the preview disappears on its own after the period above. To have everything deleted right away, use ‘Delete video and data’ on the same page.

5. Ordering and payment

  • On the order page you choose: pay now, or pay later by invoice.
  • Pay now: the agreement is formed when we receive your payment. You get an invoice by email.
  • By invoice: the agreement is formed when you click ‘Order by invoice’. From that moment you owe the price. Stripe emails you the invoice on behalf of Encircle. We charge nothing extra for paying by invoice.
  • All purchases are one-time. There are no subscriptions and nothing renews or is charged automatically.
  • Payments are processed by Stripe.

5a. Prices

  1. The price is shown on your preview page and on the order page. The price on the order page when you order is binding. Prices exclude VAT unless stated otherwise. In the United States we add no sales tax, unless the order page says otherwise.
  2. Prices may differ by market and currency (for example in dollars, pounds or euros) and by period. We don’t charge you more or less because your business is based in a different EU country, and we don’t use data about nationality or ethnicity.
  3. The price on your preview page doesn’t change while that page is online.
  4. A different price offered to another business, in another market or period, does not entitle you to a discount or refund. You only get a discount if we give you a code ourselves, under the conditions we state with it.
  5. We only sell to businesses. By ordering, you confirm that you’re buying in the course of your trade or business.

5b. Paying by invoice, late payment and collection

  1. You pay an invoice within 14 days of the invoice date, without deduction or set-off. You may not withhold payment, even if you have a complaint. Do tell us about a complaint right away; we’ll resolve it separately from the payment.
  2. If you don’t pay within that period, you are in default from the day after the due date, without any reminder or notice of default being required.
  3. From then on you owe statutory commercial interest on the outstanding amount (Article 6:119a of the Dutch Civil Code).
  4. If we have to take collection measures, you also pay the extrajudicial collection costs: 15% of the outstanding amount, with a minimum of €40 (£40 or $40 for an invoice in pounds or dollars). If the actual, reasonable costs of a collection agency, attorney or bailiff are higher, you pay those, including reasonable attorney’s fees. If you lose a court case (in whole or in part), you also pay the legal costs.
  5. We send you reminders and one final notice giving you another 14 days to pay. After that we may assign or hand the claim to a collection agency, attorney or bailiff, in the Netherlands or in the country where your business is based. To do so we share your business, contact and order details (see the privacy policy).
  6. While an invoice is outstanding, we may suspend feedback, extra videos and new orders, and you can’t order by invoice again. If you pay an invoice only after the final notice, or not at all, you can only pay upfront from then on.
  7. Payments are applied first to costs, then to interest, then to the oldest outstanding invoice.
  8. As evidence of your order we keep the text you agreed to, with the time, IP address and browser, and the time of delivery and downloads. Our records serve as evidence unless you prove otherwise.
  9. Whoever orders on behalf of the business confirms they are authorized to do so. If they are not, they are liable for payment alongside the business.

6. Delivery, no withdrawal and no refunds

  • We deliver right after payment, or when paying by invoice right after your order: you download the files on screen and through the link in your email. With voice-over, the version with the voice follows as soon as it’s ready.
  • You have seen the whole video before buying, and delivery is immediate. That’s why there is no refund policy. A purchase cannot be withdrawn or reversed.
  • If a technical error on our side means we can’t deliver what you saw on your preview page, we deliver it after all or refund the amount paid.
  • What-you-see guarantee: you get the video you saw on your preview page, without watermark. If the delivered video differs from it, or a file doesn’t work, we fix it for free. Report it through your download page.

7. Changes after delivery

  • Want something different in your video after delivery? Tell us through the feedback form on your download page. We make the changes; you can’t edit the video yourself.
  • There are three levels (amounts excl. tax; the price in the form applies):
    • Text and music, free once per video order: the text in the video, your phone number and website, and a different track from our music library.
    • Logo and photos, $17 / £13: a different logo, removing or replacing photos, and everything in the text level.
    • Content, $49 / £39: a different order or structure, a different style or animation, and anything that doesn’t fit the other levels.
  • If you bought the voice-over, you can switch to another voice for free. You can also add the voice-over after delivery ($39 / £30).
  • We make the changes within 3 business days of your form (Saturdays and Sundays don’t count), in every format you have. The latest day is shown with the form. As soon as the new version is ready, you get the files by email.
  • If you already added a paid feedback round to your order, you fill in the form after delivery, until 30 days after your payment. After that the round lapses.
  • A different video, video type or service is not covered by feedback. For that you request an extra video ($75 / £65) with the button on your download page; it opens an email to us.

8. License

  • Once paid in full, you may use the video without time limit to promote your own business in your own channels: your website, your Google Business Profile, your social media, email, WhatsApp and quotes.
  • If you order by invoice, you get a temporary license on delivery. It becomes permanent once the invoice is paid in full. If the invoice is still unpaid after the period in the final notice, the temporary license ends automatically, without us having to tell you.
  • Using the video without a valid license infringes Encircle’s copyright. We may then have the video removed from platforms, websites and hosting providers (for example with a notice-and-takedown or DMCA request) and claim damages. Your obligation to pay remains.
  • Your video has one music track, licensed for use in your own channels above. You can pick a different track once for free through the feedback form. The licence also covers paid online ads (such as Google, Meta or LinkedIn ads), but not TV or radio.
  • Templates, animations and software remain the property of Encircle.

9. Images, logo and name

  • We make the video from what your business itself has made public: the name, logo, photos and text on your own website, and sometimes photos from your public Instagram profile and your Google rating.
  • When ordering you confirm that you are authorized to order on behalf of the business and that the business may use the name, logo and images in the video.
  • If it contains something your business holds no rights to, for example a photo by a photographer without a license or one from another business, don’t use the video that way and tell us through the feedback form. Replacing or removing a logo or photo falls under the Logo and photos level (section 7).
  • Encircle does not use your video as an example without your written permission.

10. Liability

Our liability is limited to the amount you paid for the order concerned; this does not apply in case of intent or gross negligence. Check the text in your video before publishing it.

11. Governing law and courts

  1. These terms and every agreement with Encircle are governed by the laws of the Netherlands, also if your business is based outside the Netherlands. The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply.
  2. Disputes go to the competent court in the district where Encircle is established. Encircle may also bring a claim before the competent court in the country or state where your business is based.
  3. Rules of your business’s country that cannot be set aside by agreement continue to apply. If a provision is invalid, the others remain in force and the closest valid provision to its intent applies instead.

12. Language and versions

  • These terms exist in Dutch, English and German with the same content. If they differ, the Dutch text prevails, except for businesses in Germany, for whom the German text prevails.
  • An order is governed by the terms in force when it was placed. The version number is stored with your order; we’ll send you an earlier version on request.
